Conveyco, Inc. — Website & Customer Portal Terms of Use
The agreement governing your use of the Conveyco website and customer portal.
Effective Date: June 26, 2026
Introduction
These Website & Customer Portal Terms of Use (the "Terms") are a binding agreement between Conveyco, Inc., a Minnesota corporation with offices at 1170 Cliff Road East, Burnsville, Minnesota ("Conveyco," "we," "us," or "our"), and the business that registers for or uses the Conveyco website and customer portal ("you" or the "Customer"). These Terms govern access to and use of Conveyco's website at theconveyco.com, the password-protected customer portal, and any related online features Conveyco makes available (together, the "Portal").
Please read these Terms carefully. By creating an account, clicking to accept these Terms, or otherwise accessing or using the Portal, you agree to be bound by them. If you do not agree, do not access or use the Portal.
1. These Terms Govern the Portal Only — Not Freight Services
Conveyco is a licensed Non-Vessel-Operating Common Carrier (NVOCC) and ocean freight forwarder (FMC License No. 027928NF). The transportation, forwarding, and logistics services Conveyco provides are governed by separate documents, which may include: (a) Conveyco's tariff(s) published with the Federal Maritime Commission and the rules, terms, and conditions stated in or incorporated by them; (b) Conveyco's House Bill of Lading and its terms and conditions; (c) Conveyco's Terms and Conditions of Service; and (d) any applicable rate arrangement, service arrangement, or written contract between you and Conveyco (together, the "Service Terms").
These Terms apply only to your use of the Portal as a software application and information service. They do not amend, replace, or supersede the Service Terms, and they do not themselves create, modify, or describe any transportation contract, carrier obligation, rate, or cargo-liability term. In the event of a conflict between these Terms and the Service Terms with respect to the underlying transportation or forwarding services, the Service Terms control. In the event of a conflict with respect to use of the Portal itself, these Terms control.
2. Acceptance and Electronic Agreement
You accept these Terms by clicking "I agree" (or a similar affirmation) when you register for an account or when prompted, or by accessing or using the Portal. You represent that you are authorized to accept these Terms on behalf of the Customer and to bind the Customer to them.
You agree that your electronic acceptance has the same legal effect as a handwritten signature, consistent with the federal ESIGN Act and applicable state Uniform Electronic Transactions Act (UETA). Conveyco may keep a record of your acceptance, including the version of the Terms accepted and the date of acceptance.
3. Definitions
- "Account" means the credentials and access Conveyco provisions to the Customer and its Authorized Users.
- "Authorized User" means an individual the Customer permits to access the Portal under the Customer's Account.
- "Customer Content" means any data, documents, files, instructions, or other materials the Customer or its Authorized Users submit to or store in the Portal, including shipping instructions, commercial invoices, packing lists, and notes.
- "Tracking Information" means shipment, container, milestone, schedule, and routing information displayed in the Portal, much of which originates from ocean carriers and other third parties.
- "Portal" has the meaning given in the Introduction.
4. Eligibility and Account Registration
The Portal is intended for business use by Conveyco's customers and their personnel. By registering, you represent that you are at least 18 years old, are acting on behalf of a business, and have authority to bind that business. Conveyco may approve, decline, or revoke access at its discretion and may require verification of your identity or authority.
You agree to provide accurate, current, and complete information when registering and to keep it up to date.
5. Account Security and Authorized Users
You are responsible for all activity that occurs under your Account. You agree to:
- keep credentials confidential and not share them except with Authorized Users;
- ensure each Authorized User complies with these Terms;
- use any multi-factor authentication or other security features Conveyco may require; and
- notify Conveyco promptly at the contact below if you suspect any unauthorized access or security incident involving your Account.
You are responsible for promptly removing access for individuals who should no longer have it. Conveyco is not liable for losses arising from unauthorized use of your Account to the extent caused by your failure to safeguard credentials, subject to applicable law.
6. Acceptable Use
You agree not to, and not to permit any Authorized User or third party to:
- access or attempt to access data, accounts, or shipments that do not belong to your business;
- interfere with, disrupt, probe, scan, or test the vulnerability of the Portal or its infrastructure, or circumvent any security or access control;
- use any robot, scraper, or automated means to access or extract data from the Portal except as Conveyco expressly authorizes in writing;
- upload or transmit any malware, or any content that is unlawful, infringing, or that you lack the right to submit;
- misrepresent your identity or authority, or use the Portal to violate any applicable law, regulation, or sanctions/export-control requirement; or
- reverse engineer, copy, resell, or create derivative works from the Portal except to the extent this restriction is prohibited by law.
7. Customer Content and Uploaded Documents
Ownership. As between you and Conveyco, you retain all rights you hold in Customer Content. Conveyco does not claim ownership of your documents or data.
License to operate the Portal and provide services. You grant Conveyco a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process Customer Content for the purposes of operating the Portal, performing and administering services, complying with law, and as otherwise described in the Privacy Policy. This license is limited to those purposes.
Your responsibility for accuracy and rights. You are solely responsible for the accuracy, completeness, and legality of Customer Content, including shipping instructions and supporting documents. You represent that you have the right to submit it and that doing so does not violate any law or third-party right. Conveyco may rely on Customer Content as submitted and is not obligated to verify it.
8. Tracking and Shipment Information
The Portal displays Tracking Information to help you follow shipments. Much of this information originates from ocean carriers and other third parties and is provided on an "as-is" and "as-available" basis. Conveyco does not guarantee that Tracking Information is accurate, complete, current, or uninterrupted.
Not real-time; not operational instructions. Dates and milestones shown in the Portal may be estimates or planned values, may reflect a periodic (for example, daily) update rather than live status, and may lag or differ from actual events. Map or route displays are illustrative of a shipment's journey stage and do not depict real-time vessel position. Tracking Information is provided for general visibility only and should not be relied upon as the sole basis for time-sensitive or operational decisions. Official notices, deadlines, and instructions are governed by the Service Terms and Conveyco's direct communications.
9. Intellectual Property
The Portal, including its software, design, text, graphics, and the Conveyco name and logo, is owned by Conveyco or its licensors and is protected by intellectual-property laws. Conveyco grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Portal for your internal business purposes during the term of these Terms. No other rights are granted. Third-party names and marks (for example, ocean carriers) are the property of their respective owners and are used for identification only; their appearance does not imply endorsement or affiliation.
10. Privacy and Data Protection
Conveyco's collection and use of personal information through the Portal is described in the Conveyco Privacy Policy, which is incorporated into these Terms by reference. By using the Portal, you acknowledge the Privacy Policy.
Customer responsibilities. Where you provide personal information of your personnel or third parties (for example, contact details of Authorized Users or consignee contacts), you represent that you have a lawful basis to provide it and to have Conveyco process it for the purposes described.
Cross-border processing. Conveyco operates in international trade and may process information in, or transfer it to, the United States and other countries. Where required, such transfers will be made under an appropriate legal mechanism.
11. Third-Party Services and Links
The Portal may rely on or link to third-party services (for example, ocean-carrier data feeds, mapping/tile providers, analytics, and customer-support chat). Conveyco does not control and is not responsible for third-party services or their content, availability, or privacy practices. Your use of a third-party service may be governed by that party's terms.
12. Service Availability and Changes
Conveyco provides the Portal on an "as-available" basis and may modify, suspend, or discontinue all or part of the Portal at any time, with or without notice. Conveyco may perform maintenance, impose usage limits, and update features. Conveyco is not liable for any unavailability of the Portal.
13. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PORTAL AND ALL INFORMATION IN IT (INCLUDING TRACKING INFORMATION) ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE PORTAL WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE OR THAT INFORMATION WILL BE ACCURATE OR CURRENT.
This Section concerns the Portal only. It does not limit, waive, or affect any rights, obligations, or liabilities relating to the underlying transportation or forwarding services, which are governed exclusively by the Service Terms.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT FOR LIABILITIES THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, CONVEYCO AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PORTAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CONVEYCO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PORTAL WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
Relationship to freight liability. This limitation applies to the Portal as a software and information service. It is separate from, and does not increase, decrease, or otherwise affect, Conveyco's liability (if any) for cargo, loss, damage, delay, or other matters arising from transportation or forwarding services, which is governed exclusively by the Service Terms (including Conveyco's House Bill of Lading and tariff and any applicable liability limits or time bars in them).
15. Indemnification
You agree to indemnify and hold harmless Conveyco and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and reasonable expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your or your Authorized Users' use of the Portal; (b) Customer Content; (c) your breach of these Terms; or (d) your violation of any law or third-party right. Conveyco will provide reasonable notice of any claim subject to indemnification.
16. Suspension and Termination
Conveyco may suspend or terminate your access to the Portal, in whole or in part, at any time, including for any actual or suspected violation of these Terms or to protect the Portal or other users. You may stop using the Portal at any time. Sections that by their nature should survive termination (including Customer Content licenses already exercised, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive. Termination of Portal access does not by itself terminate or affect the Service Terms or any transportation contract.
17. Changes to These Terms
Conveyco may update these Terms from time to time. If a change is material, Conveyco will provide reasonable notice (for example, by posting the updated Terms in the Portal with a new effective date and/or requiring acceptance on next sign-in). Your continued use of the Portal after the effective date of updated Terms constitutes acceptance of them. If you do not agree to the updated Terms, you must stop using the Portal.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. The state and federal courts located in Dakota County, Minnesota will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Portal, and each party consents to that jurisdiction and venue.
19. General
Entire agreement. These Terms, together with the documents they incorporate (such as the Privacy Policy), are the entire agreement between you and Conveyco regarding the Portal and supersede prior understandings regarding the Portal. They do not supersede the Service Terms, which remain in effect for the underlying services.
Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
No waiver. Conveyco's failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms without Conveyco's consent; Conveyco may assign them in connection with a reorganization, merger, or sale.
Force majeure. Conveyco is not liable for any delay or failure of the Portal caused by events beyond its reasonable control.
Notices. Conveyco may provide notices through the Portal or to the contact information associated with your Account. You may send notices to Conveyco at the address below.
